6. Payments & Third-Party Processors
Online payments made through WatSayPay are processed by third-party payment providers. Your use of payment features is also subject to that provider's terms. We are not responsible for delays, failures, or disputes arising from the payment processor's handling of a transaction, though we will assist in good faith to help resolve issues.
7. AI Assistant
WatSayPay includes an AI Assistant to help with invoicing, quoting, and business tasks. AI-generated responses are provided for convenience and informational purposes and should not be relied on as financial, tax, or legal advice. You remain responsible for reviewing and verifying all invoices, quotations, and figures before sending them.
8. Data & Privacy
Your use of WatSayPay is also governed by our Privacy Policy, which describes how we collect, use, and protect data. Section 11 below sets out additional terms that apply specifically to the processing of your customers' personal data.
9. Intellectual Property
WatSayPay, including its software, design, branding, and content, is owned by Creative Reach Technologies. You may not copy, modify, reverse-engineer, or resell the platform without our written permission. You retain ownership of the business and customer data you input into the platform.
10. Suspension & Termination
We may suspend or terminate your account if you violate these Terms, misuse the Service, or engage in fraudulent or unlawful activity. You may cancel your account at any time; certain financial records may be retained as required by law even after cancellation.
11. Data Processing Terms
This section forms part of these Terms and applies whenever WatSayPay processes personal data on your behalf as part of providing the Service.
11.1 Background
When you use WatSayPay to invoice, quote, or manage records for your own customers, you determine the purpose and means of processing that customer data — making you the "Data Controller." WatSayPay processes that data only on your instructions, making us the "Data Processor," as defined under UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL).
11.2 Scope & Nature of Processing
Categories of data processed: your customers' names, contact details (phone number, email, WhatsApp number), invoice and quotation records, payment history, and outstanding balances. Purpose: to generate and deliver invoices, quotations, and retention contracts on your behalf; process payments; send automated payment reminders; and maintain your dashboard and records. Duration: for as long as your account is active, and thereafter only as required for legal record-keeping (see 11.7).
11.3 Our Obligations as Processor
- Process personal data only on your documented instructions, as necessary to provide the Service.
- Ensure our personnel with access to the data are bound by confidentiality obligations.
- Implement appropriate technical and organizational security measures to protect the data.
- Assist you in responding to data subject requests (such as access or deletion requests from your customers) where reasonably required.
- Notify you without undue delay if we become aware of a personal data breach affecting your customers' data.
- Not sell, rent, or use your customers' data for any purpose beyond providing the Service.
11.4 Subprocessors
We use the following categories of subprocessors: payment processors (e.g. Stripe) to process payments; WhatsApp Business API / Meta to deliver messages you send through the platform; email service providers to deliver invoices and notifications; cloud hosting providers to store and secure platform data. We remain responsible for ensuring our subprocessors meet equivalent data protection obligations and will notify you of any material change where required.
11.5 International Data Transfers
Where personal data is transferred or stored outside the UAE, we take reasonable steps to ensure it remains protected in a manner consistent with the PDPL.
11.6 Your Obligations as Controller
- Having a lawful basis to collect and process your customers' personal data.
- Providing your customers with appropriate notice regarding how their data is used, including through WatSayPay.
- Ensuring the accuracy of the data you input into the platform.
- Obtaining any consents required from your customers, including for receiving invoices, quotations, or automated reminders via WhatsApp or email.
11.7 Data Retention & Deletion
Upon termination of your account, we will delete or return your customers' personal data, except where we are required to retain financial records under UAE law (typically a minimum of 5 years).
11.8 Security Measures
We maintain administrative, technical, and physical safeguards designed to protect personal data against unauthorized access, loss, or disclosure, including encryption, access controls, and regular security review of our systems.
12. Limitation of Liability
To the maximum extent permitted by UAE law, WatSayPay and Creative Reach Technologies are not liable for indirect, incidental, or consequential damages arising from your use of the Service, including payment delays, third-party processor issues, or reliance on AI-generated content. Our total liability for any claim is limited to the fees you paid us in the 3 months preceding the claim.
13. Governing Law
These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the platform. Continued use of the Service after changes constitutes acceptance of the updated Terms.
